By-laws of the 5GMF

Name

Article 1:
This forum shall be named “The Fifth Generation Mobile Communications Promotion Forum” (hereinafter referred to as the “5GMF”).

Objectives

Article 2:
The objectives of the Fifth Generation Mobile Communications Promotion Forum are to conduct research & development concerning Fifth Generation Mobile Communications Systems and research and study pertaining to standardization thereof, along with acting as a liaison and coordinating with related organizations, collecting information, and promoting education and awareness about Fifth Generation Mobile Communications Systems aimed at the early realization thereof, all with the aim of thereby contributing to the sound development of the use of telecommunications.

Activities

Article 3:
The Fifth Generation Mobile Communications Promotion Forum works to achieve its objectives through participating in the following activities:

(1) Engaging in research & development concerning Fifth Generation Mobile Communications Systems, as well as research and study pertaining to standardization thereof;
(2) Collecting information on Fifth Generation Mobile Communications Systems and exchange thereof with other organizations;
(3) Acting as a liaison and coordinating with related organizations concerning Fifth Generation Mobile Communications Systems;
(4) Promoting education and awareness about Fifth Generation Mobile Communications Systems;
(5) Any other activities necessary to achieve the objectives of the 5GMF.

Members

Article 4:
Members of the Fifth Generation Mobile Communications Promotion Forum have agreed with the goals of the Forum and have submitted an application for membership. There are two categories of membership:

(1) Ordinary member: A corporation or organization that has paid an annual membership fee of 100,000 Japanese yen;
(2) Individual Members: Academics or researchers whose membership has been approved by the Chairman.

Admission

Article 5:
1. Parties that desire to participate in the 5GMF shall submit a registration form.
2. Parties that desire to participate in the 5GMF as an individual member shall submit a registration form and shall be approved by the Chairman of the 5GMF.

Payment of Annual Membership Fees

Article 6:
1. Ordinary members shall pay an annual membership fee of 100,000 yen for each fiscal year of the 5GMF.
2. Individual members are not required to pay an annual membership fee.
3. Annual membership fees paid by the ordinary members will not be refunded.0020

Withdrawal

Article 7:
5GMF members shall notify the 5GMF of their intention in writing when they intend to withdraw from the 5GMF.

Officers

Article 8:
The 5GMF shall have following officers.

(1)One (1) Chairman of the 5GMF
(2)Two (2) Vice-Chairmen of the 5GMF
(3)One (1) Auditor of the 5GMF

Election of Officers

Article 9:
1. The officers shall be elected from among the members at the General Assembly.
2. The Chairman of the 5GMF shall represent the 5GMF and supervise affairs thereof.
3. The Vice-Chairmen of the 5GMF shall assist the Chairman of the 5GMF and act on their behalf when the Chairman of the 5GMF is unable to carry out their duties.
4. The Auditor of the 5GMF shall audit the accounting of the 5GMF.
5. The term of office for the officers shall be one (1) year, provided that officers shall not be prevented from being reappointed.
6. Even when officers have resigned from their posts or when their term of office has expired, they shall continue to perform their duties until their successors are elected.

Special Members

Article 10:
The Chairman of the 5GMF may invite any person deemed particularly necessary to the performance of business thereof to participate in the 5GMF as a special member.

Advisor of the Advisory Board

Article 11:
1. The 5GMF may have an Advisor of the Advisory Board.
2. The Advisor of the Advisory Board shall be appointed by the Chairman of the 5GMF.
3. Parties registered as ordinary members, individual members, or special members shall not act concurrently as the Advisor of the Advisory Board.

General Assembly

Article 12:
1. The General Assembly shall be convened by the Chairman of the 5GMF and comprised of members and special members.
2. The ordinary meeting of the General Assembly shall be held once each year in general, and the extraordinary meeting of the General Assembly shall be held when deemed necessary by the Chairman of the 5GMF.
3. Meetings of the General Assembly may be held in writing or by electronic mail as necessary.
4. Meetings of the General Assembly shall be deemed official when a majority of the ordinary members are present.
5. Ordinary members that cannot attend any meeting of the General Assembly may delegate their rights to the Chairman of the General Assembly or another ordinary members, in which case the ordinary member shall be deemed present at the meeting of the General Assembly.
6. The Chairman of the 5GMF shall act as the Chairman of the General Assembly.
7. A resolution of the General Assembly shall be declared with the approval of a majority of the ordinary members present at the meeting thereof, and, in the case of a tie, the Chairman of the General Assembly shall have the casting vote.
8. The General Assembly shall resolve the following items in addition to the items laid down separately in these Articles of Association:
 (1) Amendment to these Articles of Association;
 (2) Business plans, along with income and expenditure budgets;
 (3) Business reports and the settlement of income and expenditure;
 (4) Any other important matters related to the administration of the 5GMF.

Advisory Board

Article 13:
1. The Advisory Board shall be established under the 5GMF.

2. The Advisory Board shall comprise the Chairman of the 5GMF, Vice-Chairmen of the 5GMF, and Advisor of the Advisory Board.
3. Meetings of the Advisory Board shall be convened by the Chairman of the 5GMF and held at any time deemed necessary.

Committees

Article 14:
1. Committees may be established subject to a resolution of the General Assembly when they are deemed necessary for the operation of the business of the 5GMF.
2. The organization and assignments of the committees shall be determined separately.
3. The committees shall be comprised of members and special members that desire to participate in them.
4. The chairmen of the respective committees shall be appointed by the Chairman of the 5GMF from among the members and special members.
5. Matters necessary to the administration of the committees shall be determined by the respective committees.

Secretariat

Article 15:
1. The 5GMF shall have a secretariat to handle its affairs.
2. The secretariat shall be located at the Association of Radio Industries and Businesses.
3. In performing the affairs, the secretariat may obtain cooperation from the Telecommunication Technology Committee.

Expenses

Article 16:
1. Expenses necessary for the administration of the 5GMF shall be covered by annual membership fees, contributions, and other miscellaneous income.
2. Expenses for any experiments conducted as part of the 5GMF activities shall be separated from the expenses referred to in the preceding paragraph and covered by contributions collected from the members participating in the experiments.

Fiscal Year

Article 17:
The fiscal year of the 5GMF shall commence on April 1 of each year and terminate on March 31 of the following year.

Supplementary Provisions

Supplementary Provisions

1. These Articles of Association shall be enforced effective from the date of establishment (September 30, 2014).
2. Notwithstanding the provisions of Article 9 hereof, the term of office for the officers of the 5GMF for the year of establishment shall commence on the date of the Organizational General Assembly (September 30, 2014) and terminate on March 31, 2015.
3. Notwithstanding the provisions of Article 17 hereof, the fiscal year of the 5GMF for the year of establishment shall commence on the date of establishment (September 30, 2014) and terminate on March 31, 2015.
